USER CONTENT & LICENSING AGREEMENT

Welcome to Trakle LLC. This User Content & Licensing Agreement ("Agreement") governs the submission, posting, and use of user-generated content on the Trakle LLC website. By submitting, posting, or displaying content on our platform, you agree to adhere to this Agreement.

User-Generated Content (UGC): UGC refers to various forms of digital content that users contribute to the Trakle LLC platform. This includes written contributions like reviews, feedback, ratings, and comments; visual submissions such as photos related to artists, live performances, and venues; and interactive content like questions and answers. While UGC is a cornerstone of Trakle LLC, users are expected to ensure that the content they post is authentic, respectful, and does not violate any third-party rights.

Rights Granted to Trakle LLC: By submitting or posting content, you grant Trakle LLC a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media, subject to our Privacy Policy.

Your Responsibilities: You represent and warrant that:

  • You own or control all of the rights to the content you post or otherwise have the right to post such content.
  • The content is accurate and not misleading.
  • Use and posting of the content do not violate this Agreement, our Terms of Service, Privacy Policy, Content Fraud Policy, or any applicable laws, and will not infringe upon the rights of any third party.

Content Standards: User content should not contain:

  • Materials that violate the rights of others, including copyright or trademark infringements, privacy violations, or other intellectual property rights.
  • Obscene, defamatory, threatening, harassing, abusive, hateful, or racially or ethnically offensive materials.
  • Advertisements or solicitations of business.
  • Personal data of others without their explicit consent.
  • Misinformation or fraudulent details that undermine the integrity of the platform as outlined in our Content Fraud Policy.

Content Review: Trakle LLC reserves the right, but is not obligated, to review, screen, delete, edit, or move any content for any reason, without notice, at our sole discretion.

Content Removal: If content is found or believed to violate our Content Fraud Policy, Terms of Service, this Agreement, or any applicable laws, Trakle LLC reserves the right to remove or modify such content.

DMCA: If you believe any content infringes upon your copyrighted work, you can submit a complaint in accordance with our Copyright & DMCA Notice.

Indemnification: By using the Trakle LLC platform and by submitting content, you agree to indemnify, defend, and hold harmless Trakle LLC, its agents, licensors, and affiliates from any liability, loss, claim, and expense (including attorneys' fees) related to your violation of this Agreement.

Changes to This Agreement: Trakle LLC may modify this Agreement from time to time. Changes will be posted on this page, and by continuing to use our platform after changes have been made, you agree to those changes.
